Roles & Responsibilities

  • This role will provide secretariat services to the Bank and relevant subsidiaries.
  • The ideal candidate will ensure the delivery of high-quality board and management secretarial services, promote sound corporate governance, and drive compliance with regulatory requirements in alignment with the Bank’s objectives and governance standards.

Summary of Key Responsibilities

  • Organise and provide secretarial support for Board, Board Committee, Executive, and Management Committee meetings, ensuring accurate documentation and compliance with governance protocols.
  • Monitor adherence to relevant corporate governance codes, statutory requirements, and regulatory frameworks across the Bank, including the preparation and submission of statutory returns.
  • Maintain statutory registers and records and ensure the secure custody of original corporate documents for the Bank.
  • Advise the Board and executive management on corporate governance and company secretarial matters.
  • Act as liaison for secretarial matters, and coordinate secretarial aspects of audits, regulatory examinations, and strategic retreats.

Requirements

  • Bachelor of Laws (LL.B) and Barrister at Law (B.L); must be called to the Nigerian Bar.
  • Relevant professional certifications in corporate governance or company secretarial practice (e.g., ICSAN)
  • Minimum of 18 years’ post-call experience in legal and company secretarial practice, preferably within the financial services sector
  • Sound knowledge of the Nigerian banking industry and its regulatory environment
  • Strong stakeholder management skills
  • High level of credibility, ethical standards, and personal integrity.
