Job Title: Corporate Lawyer and Company Secretary

Location: Ibeju Lekki, Lagos

Job Summary

  • Our company is looking to hire Corporate Lawyer and Company Secretary preparing and overseeing legal documents.
  • The ideal candidate will handle both internal and external legal affairs, CAC company registration, trademark and copyright registration, perform legal research, compile legal documents and documentations.
  • The Company Secretary role reports directly to the CEO but provides independent advice to the CEO and Board of Directors, as required. As such, this role involves complex interaction between CEO, Directors and Senior Management Team.

Job Description

  • Working with the CEO and members of the management team to help ensure all company compliance and regulatory obligations are fully met.
  • Responsible for drafting, reviewing contracts and relative documents for service operation of new & ongoing business transactions.
  • Working with external lawyers to prepare and review legal documents such as service agreements, deeds, and Memoranda of Understanding
  • Ensuring that the registers of company trademarks and business names are kept up to date and renewals are effected on time
  • Responsible for the legal affairs management of the company and providing legal consultant services.
  • Advising on business transactions, claims liability, advisability of prosecuting or defending lawsuits (by relating with external counsels), or legal rights and obligations
  • Establish company legal management and contract management framework.
  • Analyze, report & manage legal risks for business lines including (but not limited to) real estate related agreements.
  • Assist the company to understanding of risk management and mitigation involved in the contract negotiation process.
  • Develop expertise in relevant legal regimes, including data privacy laws and industry standards and intellectual property, in order to facilitate regulatory and internal compliance.
  • Ensuring the necessary registers are established and properly maintained, and reports are prepared in accordance with legislative requirements and the principles of good governance
  • Provide general legal advisory in company legal affairs and disputes.

Requirements / Skills / Qualifications

  • Must have been called to the Nigerian Bar with a minimum of Second Class Lower from Law School.
  • Master’s in Law is an added advantage.
  • 10 years’ working experience as a Legal Practitioner with 5-7 years’ proven experience as a Corporate Lawyer and Company Secretary.
  • Proven experience as a Corporate Lawyer and Company Secretary in a business environment.
  • Excellent knowledge and understanding of corporate law,legal requirements procedures.
  • Full comprehension of the influences of the external environment of a corporation.
  • High degree of professional ethics and integrity.
  • Sound judgment and ability to analyze situations and information.
  • Outstanding communication skills.
  • Strong administrative skills and an aptitude for using Real Estate.
  • Commercial awareness, meticulous attention to detail, and Interpersonal skills.
  • Excellent organisation and time management.
  • The ability to take the initiative.
  • Brilliant oral and written communication skills.
  • Highly analytical with strong attention to detail.

Salary

  • N250,000 monthly.
