Job Summary

  • We are seeking an experienced and driven General Counsel, Chief Compliance Officer and Corporate Company Secretary to provide legal oversight and strategic leadership across the business.
  • This individual will play a critical role in overseeing corporate governance, contracts, employment law, regulatory compliance, risk mitigation, leadership team and board management.
  • As the company’s legal backbone, you will advise on business strategy, regulatory challenges, and operational risk while ensuring strict adherence to national and international legal standards.

Key Responsibilities
Corporate Legal Advisory & Transactions:

  • Provide legal advice on corporate structures, joint ventures, M&A, and strategic partnerships.
  • Draft, review, and negotiate key contracts including lease, purchase/sale, NDAs, LOIs, MOUs, MSAs, SOWs, vendor and supplier agreements, SaaS, licensing, and data processing agreements.
  • Guide ESOP structuring and Trust planning.
  • Handle intellectual property, product claims, and regulatory disclosures.

Corporate Governance & Board Support:

  • Oversee company governance, including drafting board resolutions, maintaining corporate records, and entity registrations.
  • Advise and support the CEO and advisory board on corporate governance and policy formation.
  • Lead the formation, structure, and effective functioning of the advisory board.

Compliance & Risk Management:

  • Develop and implement compliance policies across all departments including HR, finance, data privacy, quality compliance, marketing, product development and procurement.
  • Monitor regulatory changes and ensure company compliance with federal, state, and international regulations.
  • Oversee internal audits, third-party due diligence, and responses to government inquiries.
  • Manage corporate insurance programs, policy compliance, complaints and claims review.

Employment & HR Law:

  • Draft and review employment contracts, handbooks, severance agreements, and codes of conduct.
  • Provide guidance on HR best practices, performance management, workplace investigations, and dispute resolution.
  • Advise on employee benefits, leaves, terminations, and employment law matters across jurisdictions.

Litigation & Outside Counsel Management:

  • Lead pre-litigation matters, demand letters, and settlement negotiations.
  • Select and manage external counsel, ensuring cost control and efficient dispute resolution.
  • Support arbitration, mediation, and litigation strategy when necessary.

Strategic Leadership & Business Alignment

  • Serve as a strategic partner to executive leadership on new ventures, real estate, and regulatory implications.
  • Participate in leadership decision-making to ensure legal and regulatory alignment with business objectives.
  • Support product development and market expansion from a legal and business perspective.

Requirements

  • Candidates should possess a Bachelor of Laws (LLB), attended law school and licensed to practice in home base.
  • Minimum of 7 years’ experience as a corporate attorney, preferably in a GC or in-house counsel role. Experience working for an international company.
  • Extensive experience with contract law, employment law, intellectual property, data privacy, and compliance.
  • Strong commercial acumen with proven ability to support business growth initiatives.
  • Exceptional negotiation, analytical, and problem-solving skills.
  • Excellent interpersonal, written, and verbal communication skills.
  • Experience working with cross-functional teams, boards, and external stakeholders.
  • Proficiency in legal tools, research systems, and Google Workspace.
  • Comfortable working remotely, with availability during Central Standard Time business hours.
