Job Title: Group Company Secretary
Locations: Abuja (FCT), Lagos and Rivers
Employment Type: Full-time
Responsibilities
- Support the Group Company Secretary in ensuring effective corporate governance practices and compliance with statutory and regulatory obligations across the Group and its subsidiaries.
- Coordinate and document Board, Board Committee, and General Meetings, including preparing meeting notices, collating and distributing board packs, attending meetings, recording high-quality minutes, and tracking follow-up actions.
- Maintain and routinely update statutory registers and the corporate compliance calendar, ensuring timely filings and alerts for key governance activities.
- Prepare and file statutory returns and disclosures with regulatory bodies such as the Corporate Affairs Commission (CAC), Securities and Exchange Commission (SEC), and Nigerian Exchange Group (NGX) in line with regulatory timelines.
- Assist in the end-to-end planning and execution of the Annual General Meeting (AGM), including preparation of the notice of meeting, shareholder communications, and engagement with registrars and service providers.
- Provide governance and administrative support in relation to Board and Committee evaluations, policy reviews, and implementation of Board decisions.
- Support the onboarding, induction, and continuous education of directors, including the preparation of induction materials and training schedules.
- Conduct preliminary legal and regulatory research to support secretariat operations and advisory governance.
- Liaise with external counsel, registrars, and other service providers on corporate governance and regulatory compliance matters.
- Support the management of governance documentation including Board resolutions, policy archives, charters, and corporate filings.
Qualifications
- A university degree at minimum second class or its equivalent Law or law-related course. A master’s degree is preferred with 10-12years of experience.
- Admitted to the Nigerian Bar Association
- Proven experience in at least one of our investment sectors: power, hospitality, oil and gas, or energy is an added advantage.
- In-depth knowledge of corporate governance principles, regulations, and compliance requirements for publicly quoted companies.
- Experience with relevant legal frameworks and industry practices within any of our investment sectors.
- An in-house Company Secretarial/Legal team of a public listed company, at a mid-senior level.
- 12 years relatable experience, of which 5 must include Board engagement and a strong focus on working with publicly quoted companies.
- Assist in the coordination and oversight of secretarial functions for subsidiaries within the Transcorp Group to ensure standardization and alignment with group governance requirements
