Job Title: Legal Adviser/Company Secretary

Location: Lekki, Lagos

GENERAL DESCRIPTION

  • The Legal Adviser & Company Secretary will be responsible for ensuring the company observes and complies with all legal and regulatory frameworks and corporate governance standards. This role works with the Board of Directors and Management of the Company to provide legal advice, manage legal risks and opportunities.

DUTIES/RESPONSIBILITIES

1. Legal Counsel

  • Ensure the company complies with legislation, regulations and the requirements of professional bodies and other organizations including interpreting the effect on the company of any proposed change to legislation.
  • Provide legal advice and support on the company’s activities and operations in relation to entering contracts, legal arrangements, and agreements.
  • Identify and mitigate legal risks within the company.
  • Keep up to date with changes in commercial law, regulatory management and legislation.
  • Manage, advice and oversee all company’s litigation matters.
  • Manage and monitor the Company’s property portfolio and title documents including development and management of an archiving and electronic filing system for all title documents.
  • Develop, review and advice on all legal documents, agreements, contracts and policies.
  • Liaise with the various regulatory bodies on behalf of Mitsun Group including the Corporate Affairs Commission, the Land Registries across the Federation etc.
  • Manage the Company’s stakeholders including investors and regulatory agencies.
  • Provide hands-on legal counsel to all levels of executive staff and manage the operations of the legal department.
  • Conduct legal research and liaise with external solicitors on the execution of assigned tasks.

2. Company Secretary

  • Organize board meetings, setting up the agenda and collating documents in compliance with all regulatory obligations.
  • Organize and coordinate the Executive Management Committee meetings.
  • Prepare and collate the corporate governance reports and annual reports.
  • Effective management of all relevant stakeholders including regulatory bodies, external consultants and parties.
  • Coordinate and manage the induction of new directors to the Board.
  • Implement all corporate governance directives and regulations.
  • Advise the Board on legal matters.
  • Ensuring that decisions of the Board of Directors are implemented
  • Handle all matters relating to the Board including Board meetings, Board Committee meetings, liaison with Company Directors etc.
  • Attend meetings, take and circulate minutes of all Board, Board Committees and Executive Management meetings in a timely manner.
  • Maintain and supervise the update of the Company’s statutory books, registers, and legal files.

3. Compliance

  • Ensure that Mitsun Group follows all applicable laws and regulations including
  • Carry out required filings with regulatory bodies including CAC, EFCC/SCUML etc.
  • Perform periodic updates on all necessary documents, records, and files to ensure full compliance.
  • Liaise with relevant authorities and regulatory bodies.

4. Other Duties

  • Participate in ad-hoc projects and perform other activities as may be assigned by the Board, CEO etc

SKILLS/ATTRIBUTES

  • Strong written and oral communication and analytical skills.
  • Good negotiating and drafting skills
  • Deep knowledge of corporate regulatory and company rules or norms
  • Good knowledge of and ability to grasp complex areas of law rapidly and accurately.
  • Ability to work with minimal supervision.
  • Able to transform legal issues into a workable solution within a business context
  • Exhibiting sound practical judgment.
  • Discretion when handling confidential information and the ability to work as a member of multi-disciplinary team.
  • Ability to equilibrate priorities and organize work effectively to meet deadlines.

EDUCATION/EXPERIENCE REQUIREMENTS

  • A University degree at minimum Second Class Upper or its equivalent in Law. (Master’s degree is an added advantage).
  • Admitted to the Nigerian Bar Association
  • A minimum of seven (7) years professional legal experience in a similar role and in the business environment.
  • Experience in litigation matters will be added benefit.
