Job Description
- Responsible for organizing and preparing Notices of Meetings and Board Packs, ensuring compliance with relevant regulations.
- Attend Board and Committee meetings, record accurate minutes, and circulate action points. Manage statutory filings and returns with regulatory bodies.
- Solid understanding of Corporate Law, Governance, Company Secretarial, and Boardroom Practices.
- Proficient in office administration and Secretarial Practices.
- Understanding ofcorporate governance codes, the Company and Allied Matters Act (CAMA), and other relevant regulations.
- Filings on the portals of the Corporate Affairs Commission (CAC) and the Nigerian Trademark Registry.
- Strong organizational, communication, and logistical management skills. Excellent written and verbal communication skills, along with effective presentation abilities.
- Distribute minutes promptly and prepare Board resolutions. Maintain statutory registers and regulatory filing checklists.
- Coordinate yearly schedules of Board and Committee meetings.
- Implement and maintain efficient filing systems for meeting minutes and correspondence. Provide administrative support, including drafting emails and organizing events.
- Maintain departmental calendar and set reminders.
- Assist in onboarding new companies and drafting engagement letters and proposals. Contribute to business development efforts and handle renewals. Perform other duties as required.
Qualifications
- B.Sc, BA etc (2:1)
- Professional Certification from ICSAN will be an added advantage
- 4 – 5 years post-NYSC corporate experience and at least 2 years as Company Secretary
- Knowledge of legal terminologies for preparing and editing a variety of legal documents.
- Excellent research, legal drafting, and negotiation skills.
- Excellent interpersonal and communication skills.
- Experience in using Office 365 (Outlook, Word, Excel and , PowerPoint.
