Job Description:

• As the Chief Risk Officer (CRO) specializing in Mergers and Acquisitions (M&A), you will be responsible for leading the finance’s risk management efforts throughout the M&A lifecycle, ensuring that risks associated with acquisitions, integrations and strategic partnerships are identified, assessed and effectively managed. Leveraging your extensive experience in risk management and M&A transactions, you will play a critical role in safeguarding the financial stability and reputation while supporting its growth objectives.

Responsibilities:

• Risk Governance: Develop and implement a robust risk governance framework for M&A activities, including policies, procedures, and controls to ensure compliance with regulatory requirements and best practices.
• Due Diligence Oversight: Oversee the risk assessment and due diligence process for potential M&A transactions, identifying and evaluating financial, operational, and compliance risks.
• Risk Mitigation Strategies: Develop and implement risk mitigation strategies to address identified risks, including insurance, hedging, and contractual protections, ensuring alignment with the bank’s risk appetite and strategic objectives.
• Integration Risk Management: Collaborate with cross-functional teams to develop comprehensive integration plans for acquired entities, identifying and mitigating integration risks, and monitoring progress against key milestones.
• Regulatory Compliance: Ensure compliance with all relevant regulatory requirements and reporting obligations throughout the M&A process, including anti-money laundering (AML), know your customer (KYC), and data privacy regulations.
• Stress Testing and Scenario Analysis: Conduct stress tests and scenario analyses to assess the potential impact of M&A transactions on the bank’s risk profile and financial stability, informing decision-making and risk mitigation strategies.
• Stakeholder Communication: Communicate effectively with senior management, the board of directors, regulators, and other stakeholders regarding M&A-related risks, issues, and mitigation efforts.
• Risk Culture: Promote a strong risk-aware culture throughout the organization, fostering awareness, accountability, and transparency in risk management practices related to M&A activities.
• Continuous Improvement: Lead initiatives to enhance the bank’s M&A risk management capabilities, leveraging technology, data analytics, and best practices to drive continuous improvement and innovation.

Qualifications:

• Bachelor’s degree in Finance, Risk Management, Business Administration, or a related field; advanced degree (e.g., MBA, FRM) preferred.
• Minimum of 15 years of experience in risk management, with a focus on mergers and acquisitions, preferably within the banking or financial services industry.
• Deep understanding of financial markets, products, and regulatory requirements related to M&A transactions.
• Strong analytical, problem-solving, and decision-making skills, with the ability to assess complex risks and develop effective mitigation strategies.
• Excellent communication, collaboration, and leadership abilities, with the capacity to influence and align stakeholders across the organization.
• Professional certifications in risk management (e.g., FRM, PRM) preferred.
• Demonstrated track record of successfully managing risks in M&A transactions, including due diligence, integration, and regulatory compliance.
